• Have the legal capacity to enter into binding contracts
• Not be suspended or removed from the Platform
• Use the Platform in compliance with all applicable Kenyan laws and regulations

3. Account Registration & Security

3.1 Registration: To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at hello@shrwed.co of any unauthorised use.

3.3 No Impersonation: You may not impersonate any person or entity, misrepresent your identity, or use false information.

4. Nature of Our Services

7. User Conduct

You agree NOT to:

• Use the Platform for illegal purposes or to violate Kenyan laws
• Attempt to gain unauthorised access to our systems
• Use automated tools (bots, scrapers) without permission
• Interfere with Platform security or functionality
• Harass, harm, or discriminate against other users
• Submit false, misleading, or fraudulent information

8. Intellectual Property

8.1 Our Content: All content on shrwed.co (text, graphics, logos, data, software) is owned by shrwed.co Limited and protected by Kenyan and international copyright laws.

8.2 Limited Licence: You may access and use content for personal, non-commercial purposes only. No resale, redistribution, or derivative works without written permission.

8.3 Trademarks: "shrwed.co," "Your money, your decision," and related logos are trademarks of shrwed.co Limited.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: the Platform will be uninterrupted, secure, or error-free; information is accurate, complete, or current; defects will be corrected; or the Platform is free of harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW:

• shrwed.co SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED KES 10,000 OR THE AMOUNT YOU PAID US (IF ANY) IN THE PAST 12 MONTHS
• WE ARE NOT LIABLE FOR DECISIONS MADE BASED ON PLATFORM INFORMATION
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS (LENDERS, SACCOs, BROKERS)

11. Indemnification

You agree to indemnify, defend, and hold harmless shrwed.co Limited and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, violation of third-party rights, or submission of content.

12. Dispute Resolution

12.1 Informal Resolution: Before arbitration, contact us at hello@shrwed.co to attempt informal resolution.

12.2 Binding Arbitration: Disputes shall be resolved by binding arbitration under the Arbitration Act of Kenya (Cap 49), conducted in Nairobi, Kenya in English.

12.3 Class Action Waiver: YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

12.4 Opt-Out: You may opt out of arbitration within 30 days of first use by emailing hello@shrwed.co with your name, account info, and opt-out request.

12.5 Small Claims: Either party may bring claims in small claims court if eligible under Kenyan law.

13. Governing Law

These Terms are governed by the laws of Kenya. The courts of Nairobi shall have exclusive jurisdiction, except where arbitration applies.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or Platform notice. Continued use after changes constitutes acceptance.

15. Termination

We may suspend or terminate your access at our sole discretion, with or without cause, with or without notice. Sections on intellectual property, disclaimers, liability, and dispute resolution survive termination.
